This document constitutes an official public offer (Public Offer) by PicForge Inc. (hereinafter referred to as the "Provider") to any individual or legal entity (hereinafter referred to as the "User") that accepts this offer under the terms and conditions specified below. Full and unconditional acceptance (activation) of this offer is deemed to be any action taken by the User on the website, including account registration or payment for services/subscriptions.

If you do not agree with any clause of this public offer, the Provider advises you to cease using the Service and leave the PicForge platform immediately.

Subject of Agreement and Terms of Use :

1. Scope of Services: The Provider grants the User access to the PicForge software platform powered by artificial intelligence, designed for generating, modifying, and optimizing product designs, mockups, text descriptions, and other commercial assets (hereinafter referred to as "Generated Content") based on the User's prompts ("Inputs").

2. Payment and Settlement: Access to advanced platform features is provided on a paid subscription basis or through the purchase of internal credit packages according to the current pricing plans. All payments are processed through integrated secure payment gateways. Subscription fees are billed on a recurring basis and renew automatically unless canceled by the User in their account settings before the billing date.

3. Refund Policy: Due to the nature of AI generation, which utilizes immediate and irreversible server computing power, all completed transactions, credit purchases, and subscription renewals are final and non-refundable. Exceptions may only apply in the event of technical failures on the Provider's side and will be reviewed on a case-by-case basis.

Content Rights and Restrictions :

4. Copyrights and Ownership: The User retains all rights to the source materials they upload (texts, logos, references). The Provider hereby assigns to the User all its rights, titles, and interests (if any applicable under local laws) in and to the Generated Content for use in any, including commercial purposes (such as selling merchandise, marketing, and e-commerce listings).

5. Specifics of AI Models: The User understands and acknowledges that due to the mathematical algorithms of machine learning, Generated Content is not absolutely unique. Other users may theoretically obtain a similar result when using identical or similar prompts. The Provider does not guarantee the possibility of trademark registration for the outputs generated by the AI.

6. Prohibited Actions: The User is strictly prohibited from using the Service to:

• Generate illegal, fraudulent, harmful, or explicit (18+) content.
• Infringe upon the intellectual property rights or trademarks of third parties or established brands.
• Attempt to hack, decompile the source code, or use automated scripts (bots) for mass data collection (violating the Fair Use Policy).

Liability and Disclaimers :

7. Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis. The Provider bears no liability if the Generated Content does not meet the User's expectations, or for any third-party claims if a generated design accidentally resembles an existing registered trademark. The Service does not guarantee absolute immunity from patent or copyright disputes.

8. Limitation of Liability: To the maximum extent permitted by applicable law, the Provider's total liability for any claims or damages shall be limited to the amount actually paid by the User for the Service during the last billing month.
